ARTICLE I
Name Of The Chapter

The name of this organization is the Research Triangle Texas Exes, a chapter of The Texas Exes of The University of Texas at Austin (referred to hereinafter in these bylaws as "The Association"), chartered by the Executive Council of The Association.

ARTICLE II
Purpose

The Research Triangle Texas Exes is organized to strengthen The Texas Exes by providing opportunities for local fellowship, friendship and leadership for Association members.

ARTICLE III
Mission

The mission of The Texas Exes is to praise, promote, and protect The University of Texas at Austin and its students, and to unite, inform, and involve alumni and friends in fellowship and support of education. Through chapter activities, The University of Texas at Austin moves toward being a world-class university, embraced as a single entity by her united and supportive alumni.

ARTICLE IV
Membership and Participation

The membership of the chapter consists of the current dues-paying members of The Texas Exes (hereinafter "The Association" or "Association"), mostly graduates of The University of Texas at Austin. Former students and other friends of The University of Texas at Austin are encouraged to join The Association and participate in the Chapter's activities.

ARTICLE V
Officers and Board of Directors

Section I.All current members of The Texas Exes n the Triangle area are eligible for election to the Triangle Texas Exes' Board of Directors.

Section II.A slate of officers shall be prepared by a nominating committee consisting of at least three dues-paying Association members, as required by Association bylaws. The slate will be presented at an annual chapter meeting (held on or about March 2) for a vote.

Section III.The following officers shall be elected for one-year terms at the annual chapter meeting: President, President-elect, Secretary/Treasurer (may be combined or held as separate offices), Member Involvement Chairperson, "March 2 event" chairperson, Scholarship Chairperson, and such other officers as may be desirable.

Section IV.The Board of Directors shall consist of the officers, chairs of needed committees and 2 members-at-large appointed by the President of the chapter.

Section V.The Board of Directors shall prescribe duties of the officers in addition to those outlined in the Chapter Handbook published annually by The Association, and is empowered to replace any officer and/or committee chairperson who does not perform the duties prescribed.

Section VI.If a Board member is not able to fulfill his term, the President of the chapter may fill the remaining term by appointment, subject to approval by a majority of the Board of Directors.

Section VII.All current presidents of chartered Association chapters which have approved bylaws on file with The Association shall be members of The Association's Council (As follows The Association's bylaws). The Council shall be composed of a broad and diverse cross-section of members who represent the interests and concerns of The Association's various constituencies as they relate to The Association's goals and activities. Council members shall stay informed of Association and University issues and shall promote The Association and its activities to their constituencies. The Council advises the Board of Directors and elects or approves those who serve on the Board (as provided in Article V, Section I of The Association's bylaws) and approves the Association budget.

ARTICLE VI
Meetings

The annual business meeting of the chapter shall be held on or about March 2 each year, at such time and place as may be designated by the Board of Directors. Other meetings and activities may be held as deemed desirable by the Board of Directors.

ARTICLE VII
Reorganization

In the event an annual election of the Board of Directors is not held and there is no organized chapter activity for two years, The Ex-Students' Association's President may appoint a new Board of Directors to reorganize the chapter. The association's District Council member who represents the area will assist in the reorganization.

ARTICLE VIII
Amendments

This constitution may be amended with both the approval of the Board of Directors and ratification by the membership at a regular or called meeting with at least ten members signing the amendment.
